As president of The Midwest Dialysis Group, I was approached by an investment bank to join in a roll up of other dialysis companies for an initial public offering. Our controller was not experienced in dealing with the auditors and the Security and Exchange Commission. My attorney recommended Roger Ely CPA to assist us in the audit, pre-IPO valuation, and SEC filings. We retained his firm and were extremely satisfied with the services they provided.

When the audits were completed, the pre-IPO valuation for our company was presented by the investment bank. The pre-IPO value for our shares was 6 million dollars. Roger convinced our board of directors the valuation was too low and to reject the offer. He also convinced our board that by implementing some operational changes we would be a more profitable and valuable company. The board accepted his recommendations and retained him as the chief financial officer.

In 14 months, the company was sold to a publicly traded company for 26 million dollars in a tax-free exchange negotiated by Roger. This deferral of taxes saved my partners and myself millions in Federal and State taxes.

Due to rapid growth and other events our companies were in a liquidity crisis and we needed to take immediate action.
