Tax Problem Resolution

As president of The Midwest Dialysis Group, I was approached by an investment bank to join in a roll up of other dialysis companies for an initial public offering. Our controller was not experienced in dealing with the auditors and the Security and Exchange Commission. My attorney recommended Roger Ely CPA to assist us in the audit, pre-IPO valuation, and SEC filings. We retained his firm and were extremely satisfied with the services they provided.

When the audits were completed, the pre-IPO valuation for our company was presented by the investment bank. The pre-IPO value for our shares was 6 million dollars. Roger convinced our board of directors the valuation was too low and to reject the offer. He also convinced our board that by implementing some operational changes we would be a more profitable and valuable company. The board accepted his recommendations and retained him as the chief financial officer.

In 14 months, the company was sold to a publicly traded company for 26 million dollars in a tax-free exchange negotiated by Roger. This deferral of taxes saved my partners and myself millions in Federal and State taxes.

I would without any hesitation strongly recommend Roger Ely CPA for any financial and tax service work you may have.

BJ Matter, MD, President (Midwest Dialysis Group)

I have been acquainted with Roger Ely CPA for over thirty years. During this time I have worked with Roger and a number of his clients to facilitate short term working capital and other fixed capital needs.

Roger is a man of high integrity and unwilling to compromise his principals regardless of the circumstances. He is dedicated to his family and religious community.

I have never hesitate to recommend Roger to business customers who are seeking accounting advice and the feedback from referrals has always been positive.

I can’t think of a more qualified and honest man to handle individual and business customer’s needs.

Greg McGhee, Vice President (Commercial Banking Office)

The first mistake I made was to prepare my own taxes for two years to save some money. My second mistake was to represent myself when these returns were audited by the IRS. I knew I was in real trouble when the IRS said I owed $261,000 additional tax for both years. I reached out to a friend who recommended Roger Ely CPA. Best decision I have made is hire him to represent me on the IRS appeal. He refuted every one of their audit conclusions in the appeal and proved it. The end result is I owed the IRS nothing and they owed and refunded to me about $21,000 for both years. I will never do my own taxes again and will only use Roger.

Greg M.

I was referred to Roger Ely CPA to prepare my business and personal tax returns. I was dissatisfied by the service of my former CPA. Roger Ely CPA has provided outstanding service and by following the tax planning advice, my tax liability has decreased by six figures. I highly recommend his firm for any tax and accounting needs.

Mike Moses, (Global Dealer Services, Inc.)

Due to rapid growth and other events our companies were in a liquidity crisis and we needed to take immediate action. We talked to our CPA who recommended Roger Ely CPA to come in and provide strategic guidance and CFO services. Roger prepared a business reorganization plan which allowed us to refinance our equipment under better terms and free up cash in CD’s which were being used as collateral on some of our restaurant loans. We have six separate operating companies and the bankers would be confused by the intercompany loans and receivables between these companies. Roger’s firm provided consolidated financial statements which showed all six companies as one. These consolidated financials and Rogers Plan allowed us to release the cash collateral and refinance our equipment under significantly better terms. Freeing up the CD’s and lowering our debt service payments provided us the cash flow to not just survive but to thrive.

If you need an honest advisor who knows corporate finance and how to help grow your business do not hesitate to call Roger Ely CPA.
